British AI Neocloud Nscale Secures $3.36 Billion Convertible Financing Ahead of U.S. IPO
Massive Capital Raise Highlights AI Data Center Costs
Nscale, a British neocloud specialist, announced on Friday that it has locked in $3.36 billion in convertible notes ahead of its planned initial public offering later this year. The financing structure, which includes an immediate $2.36 billion infusion led by hedge fund Third Point and a $1 billion commitment from existing investor Nvidia slated for mid‑November, underscores the enormous capital required to expand AI‑focused data centers.
The company filed its IPO registration last week and is expected to list on the New York Stock Exchange with a valuation of roughly $35 billion, according to the Financial Times. Bloomberg reports that Nscale aims to raise an additional $3 billion through the offering, and Nscale plans to go public in the United States later this year. Once the IPO is completed, the convertible notes will be exchanged for equity, giving investors a stake in the company’s future growth.
Originally spun out of Australian cryptocurrency miner Arkon Energy two years ago, Nscale has already amassed more than $103 billion in contracts, the firm disclosed in its IPO filing. It is currently constructing several large data‑center campuses, including sites in Norway and West Virginia.
